BYLAWS OF THE SOUTH ROSE HILL/BRIDLE TRAILS NEIGHBORHOOD ASSOCIATION

 

ARTICLE I

 

PURPOSE

 

Section 1

 

NAME OF ORGANIZATION: The name of the organization shall be the South Rose Hill/Bridle Trails Neighborhood Association (NA).

 

Section 2

 

PURPOSE OF NA: The purposes for which NA is organized are:

 

 

a. To enhance the livability of the area by establishing and

maintaining an open line of communication and liaison between the neighborhood, government agencies, and other neighborhoods.

 

 

b. To provide an open process by which all members of the neighborhood may involve themselves in the affairs of the neighborhood.

 

 

c. To do and perform all of the activities related to said purposes, to have and enjoy all of the powers granted and engage in any lawful activity for which corporations may be organized.

 

 

d. Notwithstanding any statement of purposes or powers aforesaid, this association shall not, except to an insubstantial degree, engage in any activities or exercise any powers that are not in furtherance of its specific and primary purpose.

 

Section 3

 

MEMBERSHIP; Membership in NA shall be open to all residents, property owners, business licensees and nonprofit organizations located within NA boundaries, 18 years of age or older, and each member shall have one vote each to be cast during attendance at any general or special meeting.

 

ARTICLE II

 

FUNDING

 

Section 1

 

DUES: charging of dues or membership fees shall not be made; however, voluntary contributions will be accepted. Activities to raise funds for NA use may be held if appropriate.

 


 

ARTICLE III

 

MEETINGS

 

Section 1

 

ANNUAL MEETING: The May meeting of the NA shall be known as the annual meeting and shall be for the purpose of electing officers, receiving reports of officers and committees, and for any other business that may arise. Notification for the annual meeting shall require seven (7) days advance written, telephonic or electronic notice to all members of NA.

 

Section 2

 

REGULAR MEETINGS: Regular meetings shall generally by held on the second Tuesday of January, March, May (the annual meeting), September and November of each year, which shall be for the purpose of receiving reports of officers and committees, and for any other business that may arise or may be placed before the members by the officers of the corporation. No special notice to members shall be required in the case of regular meetings (other than the annual meeting). Meeting dates may be adjusted upon decision of the board and notification of the NA membership.

 

Section 3

 

SPECIAL MEETINGS: Special Meetings of the membership may be called by the chairperson or the board of directors as deemed necessary. Notification and purpose(s) of the special meeting shall require seven (7) days advance written, telephonic or electronic notice to all members.

 

Section 4

 

QUORUM: A quorum for any annual, regular or special meeting of NA shall be the number of members in attendance. Unless otherwise specified in these bylaws, decisions of NA shall be made by a majority vote of those members present at any meeting.

 

Section 5

 

PARTICIPATION: Any annual, regular, special, board or committee meeting is open to any person and all who wish to may be heard. However, only those eligible for membership are entitled to vote, and the presiding officer may limit comment by non-members as necessary to provide for the expeditious conduct of business. All actions or recommendations of meetings shall be communicated to all affected parties, including minority reports.

 

Section 6

 

PROCEDURES: The NA shall to the extent practicable follow Roberts Rules of Order (Revised) in areas not covered by the bylaw; the rulings of the presiding officer or the presiding officer’s delegated parliamentarian shall be conclusive as to matters of procedure.

 

ARTICLE IV

 

BOARD OF DIRECTORS

 

 

 

 


 

Section 1

 

COMPOSITION OF BOARD: The board or directors, hereinafter referred to as the board, shall be composed of the President of the NA, who shall also serve as chairperson, the Vice-president, who shall also serve as vice-chairperson, the Secretary of the corporation, the Treasurer of the corporation, and six members-at-large. The immediate Past President of the NA shall also serve as an ex-officio representative on the board.  Standing committees may be chaired by board members-at-large or by interested members of the neighborhood association. Each director-at-large shall hold office for a term of two (2) years for which he/she is elected or appointed and until his/her successor shall have been elected or appointed to take office. The President, Vice-President, Secretary and Treasurer shall each be elected for a term of one year.  Persons elected to these positions will be eligible for re-election for the same or similar positions in subsequent elections. 

At least one of the directors-at-large shall be from each of the Bridle Trails neighborhood (south of NE 70" Street) and the South Rose Hill neighborhood (north of NE 70" Street).

 

Section 2

 

DUTIES OF BOARD MEMBERS

 

 

CHAIRPERSON (President): The chairperson shall prepare

the agenda and preside at all meetings of the board and

membership; may appoint members of committees not

elected, with a majority approval of the board, except for

members of the Grievance Committee.

 

 

VICE CHAIRPERSON (Vice-president): The first alternate

shall assist the chairperson, in the chairperson’s absence

shall function as chairperson,

 

 

SECRETARY: The secretary shall keep minutes and written

records of majority and minority opinions expressed at all

meetings; shall be responsible for all correspondence of NA;

shall make records of NA available for inspection for any

proper purpose at any reasonable time.

 

 

TREASURER: The treasurer shall be held accountable for

all funds and shall give an accounting at each general

meeting; shall receive, safe keep and disburse NA funds.

 

BOARD MEMBERS-AT-LARGE AND COMMITTEE CHAIRPERSON: Directors-at – large shall be elected as provided above. Chairpersons of committees shall inform the board and the members of all activities of their respective committees.

 

Section 3                DUTIES OF THE BOARD:

 

 

MANAGEMENT: The affairs of the NA shall be managed by the board in the interim between general meetings. The board shall be accountable to the membership; shall seek the views of those affected by any proposed policies or reactions before adopting any recommendation on behalf of the NA; and shall strictly comply with these bylaws.

 

 

VACANCIES: The board may fill any vacancy on the board or a committee by majority vote of the board in cases involving absences by a board or committee member from three (3) consecutive meetings. A member appointed to fill a vacancy shall serve the remainder of the unexpired term and until his/her successor is elected or appointed.

 

 

BOARD MEETINGS: The board shall meet at least fourteen (14) days prior to the annual meeting and at any other time the chairperson may designate. These meetings shall be open session; however, only board members shall be entitled to vote, and non-board members will be heard as determined by the Chairperson (subject to the ruling of a majority of the Board). A quorum for purpose of board meetings shall be the number of board members in attendance; decisions shall be made by majority vote. Directors shall be notified of board meetings in writing, by telephone or electronically in advance. A majority of board members, by signed petition, may call a board meeting or general meeting of the membership.

 

 

EMERGENCY POWERS: In such cases where the board is required to provide neighborhood response before the question is presented to the membership, the board must indicate to the questioner that this is the case, and shall present the action taken at the next regular meeting (or, if necessary, at a special meeting held within 60 days of the board action), or within a reasonable time for ratification by the membership as circumstances dictate.

 

 

ARTICLE V

 

COMMITTEES

 

Section 1

 

STANDING COMMITTEES:

 

 

The NA shall establish standing committees as the board or membership shall deem useful to achieving the purposes of the NA. A Chairperson(s) of a standing committee may be elected by the committee members.  The standing committees shall report to the board.

 

 

NOMINATING COMMITTEE: The board shall establish a nominating committee for the purpose of preparing nominations for the officers of the corporation and for the directors-at-large to be presented to the general membership at the annual meeting.

 

 

PUBLICITY COMMITTEE: The Publicity Committee shall be responsible for the NA newsletter, maintaining the NA website, notifying the membership of meetings, elections, and events, and shall maintain and update the membership and mailing lists.

 

ARTICLE VI

 

ELECTIONS

 

Section 1

 

ELIGIBILITY: Only persons eligible for NA membership shall be qualified to hold an elected or appointed position.

 

Section 2

 

BOARD MEMBERS: Members of the board shall be elected at the general meeting to serve for the terms indicated in Article IV, Section 1. The election at the meeting shall be by nomination by the nominating committee and shall require a majority vote of the membership present. The board membership elections will be held at the annual meeting in May of each year.

 

Section 3

 

IMPEACHMENT: A majority of the board may submit a written request for the resignation of the Chairperson or the holder of any elected position at a board meeting. If such person chooses not to resign, they may be removed and replaced by a two-thirds (2/3) vote of a general or special meeting.

 

ARTICLE VII

 

GRIEVANCE PROCEDURE

 

Section 1

 

PERSON OR GROUP ADVERSELY AFFECTED: A person or

group adversely affected by a decision or policy of NA may submit

in writing a complaint to any member of the Grievance Committee.

 

Section 2

 

RECEIPT OF COMPLAINT: Within seven (7) days of receipt of the complaint, the committee shall arrange with the petitioner actually acceptable place, day, and hour for a review of the complaint, and will in writing, within thirty (30) days, recommend a resolution of the grievance to the board.

 

Section 3

 

FINAL RESOLUTION: The committee shall attempt to resolve the complaint and shall submit a report of their recommendation and/or action to the complaint, board and membership. If the committee, board, and petitioner cannot reach agreement, final resolution of the complaint shall be by vote of a majority of the membership at a general or special meeting.

 

ARTICLE VIII

 

PROCEDURE FOR CONSIDERATION OF PROPOSALS

 

Section 1

 

EXECUTION: The board shall be responsible for execution of this article.

 

Section 2

 

SUBMISSION OF PROPOSALS: Any person or group, inside or outside the boundaries of NA and any city department may propose in writing items for consideration and/or recommendation to the board. The board shall decide whether proposed items will appear on the agenda of either the board, standing, or special committees or general or special meetings.

 

Section 3

 

NOTIFICATION: The proponent and members directly affected by such proposals shall be notified in writing of the place, day, and hour the proposal shall be reviewed not less than (7) days in advance.

 

Section 4

 

ATTENDANCE: The proponent may attend this meeting to make a presentation and answer questions concerning the proposal


 

Section 5

 

DISSEMINATION: The NA shall submit recommendations and dissenting views as recorded from the meeting to the proponent and other appropriate parties.

 

ARTICLE IX

 

ADOPTION AND AMENDMENTS: These bylaws have been initially adopted by the Initial Directors of the corporation; they may be amended at any time by a simple majority of the board of directors, or by a two-thirds (2/3) vote by the members present at an annual meeting or a special meeting called for such purpose.

 

ARTICLE X

 

BOUNDARIES

 

Section 1

 

BOUNDARIES: Boundaries of NA shall be defined as follows: all of the City of Kirkland lying east of Interstate 405, south of NE 85" Street, and west of 132"º Avenue NE, together with that area immediately north of NE 85" Street which is included in the South Rose Hill neighborhood in the comprehensive plan of the City of Kirkland. Additionally, residents of the Bridle View neighborhood lying immediately east of 132" Avenue NE and south of the Old Redmond Road (NE 70" Street) may be members of the NA.

 

Amended October 8, 2002 by consensus of the NA Board
